Project Shield for Agency
Effective date: September 15, 2026
These Terms of Service (“Terms”) govern access to and use of Project Shield for Agency (the “Service”), a web-based ticket management and workflow tool for staffing and recruiting agencies, provided by WapiCRM (Seijo 2, Setagaya, Tokyo, Japan) (“we,” “us,” or the “Provider”). By creating an account, subscribing to a paid plan, or otherwise using the Service, the organization on whose behalf you act (the “Customer,” “you,” or “your”) agrees to be bound by these Terms. If you do not agree, do not use the Service.
The Service allows a staffing/recruiting agency to receive, classify, prioritize, and track inbound email inquiries (a “ticket” per inquiry), maintain a lightweight roster of consultants/talent and internal staff, and draft AI-assisted replies. Certain features rely on connecting a shared email inbox (via IMAP) and on a third-party AI provider to classify messages and draft replies; use of those features is optional and controlled by Customer’s own configuration.
The Service is provided on a multi-tenant basis: each Customer’s data (tickets, consultant/staff records, and connected inbox) is logically separated from every other Customer’s data. We do not intentionally share one Customer’s data with another.
Customer is responsible for all activity under its account(s), for keeping login credentials confidential, and for the accuracy of information it inputs. Individual staff accounts should not be shared between people.
Customer agrees not to:
The Service is offered on the following monthly subscription plans, billed in advance and processed by Stripe, Inc. (“Stripe”):
| Plan | Price | Managed consultants |
|---|---|---|
| Starter | $499/month | up to 50 |
| Growth | $1,299/month | up to 200 |
| Scale | $2,999/month | up to 500 |
Fees are exclusive of applicable taxes, which Customer is responsible for unless we are required to collect them. Plans renew automatically each billing cycle until cancelled. Customer may change plans or cancel at any time through the self-serve billing portal; cancellation takes effect at the end of the then-current billing period unless stated otherwise. Except as required by law, fees already paid are non-refundable.
We do not store or process card details ourselves; all payment information is handled directly by Stripe under Stripe’s own terms and privacy policy. We do not currently offer free trials or promotional codes; any such offer, if introduced later, will be described at the point it is offered.
As between the parties, Customer owns all data it submits to the Service, including ticket content, consultant/staff records, and email content ingested via its connected inbox (“Customer Data”). Customer grants us a limited license to host, process, and display Customer Data solely to provide and support the Service.
Customer represents that it has all rights and consents necessary to submit Customer Data to the Service, including any consents required under applicable data protection law for processing consultant personal data (which may include sensitive categories such as compensation and immigration/visa status).
The Service relies on certain third-party providers to operate, including Stripe (payments), an email/IMAP provider of Customer’s choosing (inbox connectivity), and an AI language model provider (message classification and reply drafting). Use of the Service constitutes acceptance that limited Customer Data (e.g., email subject/body being classified) may be transmitted to these providers as necessary to deliver the relevant feature. See our Privacy Policy for detail.
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. Scheduled or emergency maintenance may cause temporary downtime. The Service is provided “as is” and “as available”, without warranties of any kind except as expressly stated in these Terms. We do not currently offer a formal uptime or support-response Service Level Agreement (SLA) on any plan.
We may suspend or terminate access to the Service if Customer materially breaches these Terms (including non-payment) and does not cure the breach within a reasonable period after notice, or immediately if necessary to prevent harm to the Service, other customers, or third parties. Customer may stop using the Service and cancel its subscription at any time. On termination, we may delete Customer Data after a reasonable retention period, subject to applicable law.
To the maximum extent permitted by law, the Provider will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to the Service. The Provider’s total aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the fees paid by Customer for the Service in the three (3) months preceding the event giving rise to the claim. Nothing in these Terms limits liability where such limitation is not permitted by applicable law.
Customer agrees to indemnify and hold the Provider harmless from third-party claims arising from Customer’s Customer Data, Customer’s use of the Service in violation of these Terms, or Customer’s violation of applicable law.
We may modify the Service or these Terms from time to time. For material changes, we will provide reasonable notice (e.g., by email or an in-app notice) before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of Japan, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be submitted to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
